Vantage Points: A Merchant Loyalty Program What do we mean by Merchant Loyalty? Does it mean that we are asking our clients to be loyal regardless
of what price we charge or level of service we provide? Of course
not! Our definition of merchant loyalty is that you call us first,
before you sign to switch providers, and give us an opportunity
to review the competing offeror's rates and terms with you. That’s
all we ask. We want you to feel very comfortable that you are getting the
best value when you select Vantage. If you don't, you will not
refer us to others. And we count on your positive referrals to
grow our business.
Please give us an opportunity to present Vantage in an "apples
to apples" comparison with any other competitive proposals
you receive. Remember, every processing company operates from the
same interchange rate schedule. We don't want to lose our good customers to
gimmicks and tricks.
Obviously there are other considerations besides rates. Differences
in the pricing structure, account set up and POS system configuration
will impact your bottom line. And it is this consulting and education
that we specialize in providing to you. So please consider the
Vantage Points program as an incentive to call us before you switch. We thank you for your consideration and the opportunity to earn

Program Rules and Regulations
Important Notice: Vantage Card
Services reserves the right to change the Vantage Points program
("Program") Terms and
Conditions at any time. This means, for example, that Vantage Card
Services may change the amount of transactions required to redeem
an award, impose caps on earnings and/or redeeming points, increase
the annual program fee and/or cancel rewards. In addition, Vantage
Card Services reserves the right to terminate the program with
30 days notice, which means that a Merchant's right to earn points
and redeem accumulated points can be terminated with 30 days notice
to Merchants. The Vantage Points program is void where prohibited
by law.
-------------------------------------------------------------------------------- General
1. The request for conversion of points from the Program account
for redemption of a Reward must be made by the authorized signor
of the merchant account with Vantage Card Services, or an individual
authorized by the merchant in writing. Requests for conversion
of points or redemption of a Reward must be initiated by calling
Vantage Card Services at 1-800-397-2380. The maximum number of Vantage Points that can be redeemed each calendar month is equal to a single reward redemption or thirty thousand (30,000) points combined total for all linked accounts.
2. Fraud or abuse relating to the accrual of points or redemption
of Rewards may result in forfeiture of accrued points as well as
cancellation of the Program account and any Vantage Card Services
merchant account.
3. All questions or disputes regarding eligibility for the Program
or the eligibility of points for accrual or conversion of points
or redemptions of Rewards will be resolved by Vantage Card Services
at its sole discretion.
4. The determination of tax liability for any federal, state, or
local taxes, as may be applicable, arising out of the accrual or
conversion of points or redemption of Rewards in the Program, shall
be the sole responsibility of the enrolled merchant.
5. Vantage Card Services is not responsible for typographical errors
and/or omissions in this online brochure.
6. This brochure and these Terms and Conditions supersede all previous
Vantage Point program brochures and Terms and Conditions. ^Top -------------------------------------------------------------------------------- Rewards
1. All Rewards are subject to availability. Certain Rewards are
available only during the time periods described in the Program
communications. Certain restrictions apply to Rewards. Terms
and Conditions of each Reward are set forth in Program communications
and/or on the gift cards (certificates). Program partners participating in the Program
are subject to change. Some Rewards have limited availability.
2. Redeemed Rewards are not refundable, exchangeable, replaceable,
redeemable, or transferable for cash, credit, other Rewards, or
points under any circumstances.
3. By redeeming Rewards, the Merchant releases Vantage Card Services
and its parent company, subsidiaries, and affiliates from any and
all liability regarding the redemption or use of Rewards, or other
participation
in the Program.
4. Rewards must be redeemed in accordance with Program communications.
Vantage Card Services and participating merchants are not responsible
for replacing lost, stolen, or mutilated certificates or tickets.
5. Vantage Card Services reserves the right to modify or cancel
any Reward at any time.
6. Any additional travel or accommodation arrangements made in
connection with any Reward will be the sole responsibility of the
Merchant. ^Top -------------------------------------------------------------------------------- Eligibility
1. The Program is available to all merchants with card processing
agreements with Vantage Card Services, Inc.
2. Additional locations are enrolled separately and assigned a
Vantage Points identification number. Vantage Points may be combined
from multiple location accounts to be redeemed for awards.
3. There is a $0 annual fee for participation in the Program,
except as otherwise provided.
4. The annual fee for the Program will be billed on the Merchant's
account on the enrollment date, and thereafter, automatically each
year during the enrollment month anniversary, and is not refundable.
The enrollment month will be considered the month the Program enrollment
application processing is completed by Vantage Card Services.
5. All linked accounts must be in good standing at the time of
enrollment. Any account that is not in good standing at the time
of enrollment will not be eligible for enrollment in the Program.
6. Annual renewal fees may be waived under certain conditions and
special offerings from time to time. ^Top -------------------------------------------------------------------------------- Point Accrual
1. Each Merchant enrolled in the Program will accrue one point
in his/her Program account for every one MasterCard, Visa and Discover (Discover effective May 1, 2008)
sales transaction (transaction) processed or
one point for every $50 in MasterCard, Visa and Discover sales dollar volume processed, whichever is greater,
during the month of
activity on their linked accounts and billed on the Merchant's
statement provided such charges are paid.
2. The Merchant will not accrue points in his/her Program account
for any sales transaction processed by Vantage Card Services prior
to the enrollment date.
3. Points accrued in a Merchant's Program account for any given
year will be carried forward on each enrollment date anniversary,
provided all other conditions set forth herein have been met.
4. The Merchant will not accrue points in his/her Program account
for the following:

Travel and Entertainment cards (including American Express,
Diners, etc.)
·
Debit cards
·
Credit transactions
·
Chargeback transactions
·
Authorization-only transactions
·
Deposit transactions
5. Points accrued in any Program account do not constitute property
of the Merchant and are not transferable by operation of law or
otherwise to any person or entity and cannot be transferred to
any other Program account.
6. Credits posted to a Merchant's Linked Account, including those
arising from returned goods or services, will reduce the points
accrued in the Merchant's Program account.
7. If a credit posted to any of the Merchant's Linked Accounts
reduces the Program account balance below the minimum required
to convert points into a participating Frequent Customer Program
or to redeem a Reward, Vantage Card Services reserves the right
to decline the Merchant's request to convert points into a participating
Frequent Customer Program or to redeem a Reward.
8. Points accrued in the Program account have no cash or monetary
value.
9. Points may be accrued in the Program account by bonus awards
for signing up for Vantage Card Services products and services
from time to time.
^Top -------------------------------------------------------------------------------- Frequent Customer Programs
1. Points accrued in the Merchant's Program account may be converted
into any one or more participating Frequent Customer Programs
at the "then current" published conversion rate.
2. Merchants are subject to and must comply with the Terms and
Conditions of the Frequent Customer Programs of the participating
airlines and hotels in which they are enrolled.
3. Some restrictions, including blackout dates and capacity controls,
apply to participating Frequent Customer Programs. For exact blackout
dates and restrictions, please contact the participating airline
or hotel directly.
4. Participating airlines and hotels may periodically make changes
such as award-level changes, blackout-date changes, or capacity-control
changes to their Frequent Customer Programs. Vantage Card Services
is not responsible for informing Merchants of changes to participating
Frequent Customer Programs.
5. Vantage Card Services assumes no responsibility for points converted
from a Merchant's Program account into a participating Frequent
Customer Program or for the actions of any participating airline
or hotel in connection with its Frequent Customer Program or otherwise.
6. Any airline's or hotel's participation in the Program is subject
to change with or without notice.
7. In the event that notice must be given that an airline will
cease participation in the Program, Vantage Card Services reserves
the right to limit the number of points, to an amount no less than
30,000 points, that a Merchant may convert into that airline's
frequent flyer program prior to the date that the airline's participation
in the Program ceases.

1. Certificates may be combined unless stated otherwise on the certificate
or in the Rewards Guide.
2. Certificates are valid at participating partners only, through
the expiration date printed on the front of the certificate.
3. Certificates must be surrendered at redemption, and no photocopies
of certificates will be honored.
4. Fulfillment of the certificate is the sole responsibility of
the participating partner, not Vantage Card Services.
5. Certificates are not valid toward previous purchases and cannot
be used as payment on existing account balances with either the
participating partner. Certificates have
no cash value and may not be redeemed for cash or its equivalent,
and any unused portion will not be returned as cash.
6. Certificates are transferable unless otherwise noted on the
certificate.
7. Expedited delivery of a certificate is available upon request.
There is a fee associated with this service.
8. Certificates are void where prohibited by law.
9. Certificate Rewards are valid until the term indicated.
10. Unless otherwise stated on the certificate, certificates for
Rewards offered do not include any federal, state, or local taxes,
which are the sole responsibility of the Merchant.
11. Unless otherwise stated on the certificate, certificates for

12. Some certificates require an additional charge for shipping
and handling. ^Top -------------------------------------------------------------------------------- Program Account
1. Points accrued in the Merchant's Program account may be converted
for
a Reward, provided all of the Merchant's enrolled linked accounts
are in good standing and not canceled or terminated by Vantage
Card Services at the time of the conversion, redemption request, or time of delivery.
If any linked account is not in good standing, the Merchant's
enrollment in the Program may be canceled or points accrued in
the Program may be forfeited. If the Merchant returns to good
standing any linked account for which points have been forfeited,
the Merchant may request reinstatement of the forfeited points.
There is a fee for point reinstatement.
2. If for any reason Vantage Card Services cancels any linked account,
any points accrued in the Program account(s) will be forfeited.
3. If a Merchant cancels a Linked Account or cancels all Vantage
Card Services accounts, all points accrued in the associated Program
account will be forfeited immediately.
4. Once accrued points in a Merchant's Program account have been
converted into a participating Frequent Customer Program or redeemed
for a Reward, the points cannot be converted back into the Merchant's
